Terms & Conditions
Scope
These General Terms and Conditions apply to all deliveries and services provided by VMPL GmbH to entrepreneurs within the meaning of § 14 BGB. Deviating or supplementary conditions of the purchaser shall not apply unless we have expressly agreed to them in writing.
Offers and contract formation
Our offers are subject to change and non-binding. A contract is formed only upon our written order confirmation or upon execution of the delivery/service.
Scope of services
VMPL supplies measuring instruments, application consulting, project solutions, and technical support in the field of gas analysis and flow measurement. The specific scope of services is set out in the respective order confirmation or project contract.
Prices and payment terms
Unless otherwise agreed, our prices apply ex works Düsseldorf plus packaging, transport, and insurance. Payment is due within 14 days of invoicing without deduction, unless alternative payment terms have been agreed.
Delivery time and transfer of risk
Delivery dates and deadlines are only approximate, unless expressly agreed in writing as binding. Risk passes to the purchaser once the delivery has been handed over to the carrier, freight forwarder, or other person designated to carry out shipment.
Warranty
The statutory warranty provisions apply. The warranty period is one year for used goods and two years for new goods. Liability for consequential damage is excluded unless mandatory law provides otherwise.
Liability
We are fully liable in cases of intent and gross negligence, as well as for injury to life, body, or health. In cases of simple negligence, we are liable only for breach of an essential contractual obligation; liability is limited to the contractually typical, foreseeable damage.
Retention of title
The delivered goods remain our property until full payment of all claims arising from the business relationship has been received.
Applicable law and place of jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Düsseldorf, provided the customer is a merchant within the meaning of the German Commercial Code.
Severability clause
Should individual provisions of these Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall not be affected.
